General Terms and Conditions of the Mapaqatix B2B E-shop

These terms and conditions govern the purchase of goods through our B2B e-shop and apply exclusively to business relationships between us as the seller and entrepreneurs as buyers. By submitting an order, the buyer confirms that they are acting within their business activities and are purchasing for the purpose of resale, distribution, or professional use.

2. Who is the B2B e-shop for?

The B2B e-shop is intended exclusively for entrepreneurs, especially swimming schools, distributors, business partners, specialized stores, sports clubs, pools, and other professional entities. We reserve the right to disapprove registration or orders if the applicant does not meet the conditions for B2B cooperation.

3. Purchase Agreement

The presentation of goods on the website is for informational purposes only and does not constitute a binding offer to conclude a contract. The purchase agreement is concluded only at the moment of our order confirmation. Automatic confirmation of order receipt is not considered acceptance of the offer unless expressly stated otherwise.

4. Prices

All prices are quoted without VAT unless expressly stated otherwise. VAT, shipping, packaging, and other related costs may be added to the price depending on the nature of the order and the place of delivery. The price confirmed at the time of order acceptance always applies.

5. Payment Terms

Payment is made based on an invoice, proforma invoice, bank transfer, or another pre-agreed method. Unless otherwise agreed, the invoice is due within 14 days. We reserve the right to require advance payment, especially for new partners, foreign orders, larger volumes, or custom production.

6. Delivery Terms

Delivery times are only indicative unless expressly agreed otherwise. Goods are considered delivered at the moment of handover to the carrier or receipt by the buyer, depending on the chosen delivery method. The buyer is obliged to check the shipment upon receipt and report any apparent defects without undue delay.

7. Complaints

The buyer is obliged to check the goods upon receipt, especially in terms of quantity, type, size, and apparent defects. Apparent defects must be reported in writing no later than 5 working days after receipt. Hidden defects without undue delay after their discovery.

In the case of a justified complaint, we will provide a replacement of goods, completion of missing performance, a discount, or another appropriate solution depending on the nature of the matter.

8. Return of Goods

The buyer acknowledges that as an entrepreneur, they do not have the right to withdraw from the contract without giving a reason within the consumer period. The return of non-defective goods is possible only based on a prior individual agreement. Goods made to order, with branding, printing, or otherwise modified according to individual requirements cannot be returned unless otherwise agreed in writing.

9. Product Information and Responsibility for Use

The buyer is responsible for further offering, selling, and using the goods in accordance with their purpose, technical parameters, and manufacturer's recommendations. For products for infants, children, and pool equipment, the buyer is obliged to ensure proper storage, hygienic handling, and providing accurate information to their customers.

10. Intellectual Property

All texts, photographs, product materials, graphics, brand, and other website content are protected by intellectual property rights. These materials may not be copied, modified, or used beyond the normal support of the sale of original goods without our prior written consent.

11. Distribution and Exclusivity

Neither registration in the B2B e-shop nor the purchase itself establishes the right to exclusive distribution, exclusivity, or commercial representation. Any exclusive business cooperation must be governed by a separate written agreement.

12. Personal Data Protection

We process personal data to the extent necessary for registration, orders, delivery of goods, invoicing, and business communication. Details on personal data processing are provided in the Personal Data Processing Policy.

13. Final Provisions

These terms and conditions are governed by the law of the Czech Republic. All disputes will be resolved primarily by agreement; if an agreement is not possible, the competent courts of the Czech Republic will decide. We reserve the right to update these terms and conditions. For already confirmed orders, the wording effective at the time of contract conclusion always applies.

These terms and conditions are effective from April 1, 2026.
